Implementation of the Beneficial Ownership Act 2025 ~ Next Steps

Today the Registrar of Companies (RoC) issued the following advisory to relevant stakeholder service providers regarding the Beneficial Ownership Act 2025 (the “Act”).

As a reminder the legislation has been passed and received the Governor’s assent on 29 September 2025.

Of particular note, the Minister of Finance, the Hon. David Burt JP, MP, will make regulations for the purposes of the Act, as well as consequential amendments to the Act and other legislation by Order.

It is anticipated that the Act, the affiliated Regulations and Orders will be brought into force by notice in the Official Gazette on 3 November 2025.

In view of the anticipated transfer of the central register from the Bermuda Monetary Authority (BMA) to the Registrar of Companies (ROC) on 3 November 2025, the BMA will not be accepting any applications as of 5.00 pm on Tuesday 28 October 2025.

This is to allow for the processing of all applications submitted prior to the transfer date.

As part of the implementation of the new regime, the RoC will issue Guidance Notes in October to assist corporate entities with understanding their obligations under the new framework. To also support operational readiness, a series of training sessions will be scheduled on the following dates and times:
